These Terms of Service (“Terms”) form an agreement between you and Cradex (“Cradex”, “we”, “us”) for the use of cradex.net, our dashboard, APIs and hosted checkout pages.
1. Acceptance of terms
By creating an account or using any Cradex service you agree to these Terms. If you use Cradex on behalf of a company, you confirm you are authorised to bind that company. If you do not agree, do not use the services.
2. Our services
Cradex provides software that lets you:
- accept USDT payments from your customers through hosted checkout pages and an NTPAY-compatible API (the “Gateway”);
- hold a prepaid USD balance funded with USDT (the “Wallet”), used to pay gateway fees and purchases;
- buy digital gift cards from third-party brands (the “Gift Cards”);
- when available, issue virtual payment cards through a licensed partner (the “Virtual Cards”).
3. Non-custodial nature of the Gateway
The Gateway is non-custodial. Customer payments are sent directly from the payer to wallet addresses that you configure and control. Cradex never receives, holds, freezes or transmits merchant funds and has no ability to reverse an on-chain transaction.
- You are solely responsible for the security of your wallets, private keys and seed phrases.
- You are responsible for configuring the correct address and network. Payments sent to a wrong address or network cannot be recovered by Cradex.
- Cradex detects payments by monitoring public blockchains and may rely on third-party explorers; detection can be delayed by network congestion or explorer outages.
4. Accounts and eligibility
You must be at least 18 years old and able to form a binding contract. You agree to provide accurate information, keep your credentials secure and enable two-factor authentication where possible. You are responsible for all activity under your account.
Business accounts require a short business profile which Cradex reviews before enabling the Gateway. We may request additional information, decline an application or revoke Business access at our discretion.
5. Fees and prepaid balance
Gateway fees are set per network and published on our Pricing page. Fees are deducted from your prepaid USD balance when an invoice completes, including invoices you mark as completed manually. Expired and cancelled invoices are free.
- Top-ups are credited at 1 USDT = 1 USD once the deposit is confirmed on-chain.
- Balances are not bank deposits, do not earn interest and are not insured by any deposit protection scheme.
- We may change fees with at least 14 days’ notice; changes do not affect invoices already completed.
6. Gift cards
Gift cards are supplied by third-party providers and are subject to the issuing brand’s terms, including regional restrictions and expiry. Once a code has been delivered it cannot be returned or exchanged. If a provider fails to fulfil an order, the amount is refunded to your USD balance.
7. Virtual cards
Virtual cards are not yet available. Joining the waitlist does not guarantee access. When launched, virtual cards will be issued by a licensed partner under separate cardholder terms that you will need to accept.
8. Acceptable use
You may not use Cradex to:
- sell illegal goods or services, or facilitate fraud, money laundering or terrorist financing;
- process payments for sanctioned persons or jurisdictions;
- infringe intellectual property or deceive consumers;
- attack, overload, reverse-engineer or bypass the security of our systems or APIs.
We may suspend merchants, invoices or accounts that we reasonably believe breach this section.
9. API and integrations
You must keep API keys and webhook secrets confidential and call the API only from your servers. We may apply rate limits and block abusive traffic. Callbacks are delivered on a best-effort basis with retries; you should verify their signature and confirm critical payments using the status endpoint.
10. Disclaimers and limitation of liability
The services are provided “as is” and “as available”. To the maximum extent permitted by law, Cradex is not liable for losses arising from blockchain network failures, price movements, third-party explorers or providers, incorrect wallet configuration or unauthorised access to your wallets.
Our aggregate liability for any claim is limited to the fees you paid to Cradex in the three months preceding the event giving rise to the claim.
11. Suspension and termination
You can close your account at any time. We may suspend or terminate access if you breach these Terms or if required by law. On closure, any remaining USD balance not subject to a hold may be refunded in USDT to an address you provide, minus network costs.
12. Changes to these terms
We may update these Terms from time to time. Material changes will be announced by email or in the dashboard. Continued use after changes take effect means you accept the updated Terms.
